The Challenge : Following advice on committee structure and on the appropriate fee levels for NEDs, Egan Associates was asked to facilitate a Board Review.  Canvassing the views of all directors as well as the direct reports to the CEO, the evaluation focussed on three distinct areas – leadership of the chairman, contribution of individual directors and the overall performance of the board.

Outcome : The Board reported that they benefited from our recommendations on:

• direction on a restructure of the board membership, including an increased focus on diversity
• insights for more effective leadership and board communication
• guidelines for increasing the contribution of individual directors and
• continued monitoring of board performance.
